About the Course

This session will deal with four dilemmas faced by Maltese entities, especially, although not solely, by listed ones. These relate to the composition of their Boards of Directors (“Boards”). Questions will be asked such as: Are multiple directorships a boon or a bane? Is there an ideal mix of executive, non-executive and independent non-executive directors on such Boards?  Which of the readily detectable aspects of diversity - such as gender, age, nationality and length of tenure- and/or of its underlying aspects - such as industry-specific, legal, accounting/finance and marketing ones - are to be prioritized for Board effectiveness? Furthermore, how are Chief Financial Officers (CFOs) expected to participate on Boards? Is it as Board members, regular participants, occasional invitees, or not at all? The session is meant to give insights on such issues based on findings derived from five recent studies published or co-published by the presenter.

Course Trainers

Prof Peter J Baldacchino is Professor in accountancy in the Department of Accountancy at the Faculty of Economics, Management and Accountancy, University of Malta. He specializes in corporate governance, auditing and financial strategy including the implications thereon of state smallness and has published in various related international journals. He is also a Central Bank of Malta director, a Maltese Accountancy Board member, and a Director of the Maltese University’s Group of Companies. He has extensive experience in the governance of large Maltese organizations including listed groups and cooperatives, with chairmanships and memberships of various Board sub-committees in such entitles.
