Board chairpersons play a pivotal role in shaping the effectiveness, leadership quality, and governance standards of Maltese listed entities (MLE's). In Malta, regulatory authorities apply fit and-proper assessments to ensure that individuals appointed to this role meet minimumsuitability requirements. However, questions remain as to whether these assessments adequately capture the full range of competences required for effective Board leadership in an increasingly complex regulatory and business environment.
Within this context, this study pursues two main objectives. First, it examines the adequacy and effectiveness of the current regulatory fit-and-proper framework in evaluating the suitability of chairpersons of Boards within MLEs. Second, it explores how key stakeholder groups perceive the importance of various chairperson competences, how these competences influence Board functioning, and whether further regulatory or developmental enhancements are warranted.
